Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 24, 2023, Paula Sutter notified the board of directors (the “Board”) of ThredUp Inc. (the “Company”) of her intent not to stand for reelection as a Class II Director of the Company upon the expiration of her current term, which expires at the Company’s 2023 Annual Meeting of Stockholders (the “Annual Meeting”). Ms. Sutter's decision not to stand for reelection was not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
In connection with the expiration of the current term of Ms. Sutter as a Class II Director of the Company at the Annual Meeting, the Board nominated Jack Lazar to stand for election as a Class II Director at the Annual Meeting. On March 24, 2023, Mr. Lazar notified the Board of his intention to resign as a Class III Director at the conclusion of the Annual Meeting, contingent upon his election as a Class II Director at such meeting. Mr. Lazar's decision to resign as a Class III Director is solely to facilitate his election as a Class II Director at the Annual Meeting and is not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
